    BUFI Terms of Service

    Effective October 7, 2026

    These Terms of Service (the "Terms") are a binding agreement between you and Fantasmita, LLC, a Delaware limited liability company doing business as BUFI ("BUFI", "we", "us" or "our"). They govern your use of the BUFI web app, mobile apps, APIs and related services (the "Service"). Please read them carefully.

    IMPORTANT: Section 19 requires most disputes to be resolved through binding individual arbitration and waives class actions and jury trials. You can opt out within 30 days, as described there. Section 5 explains who controls the keys to each type of wallet. Digital asset transactions are generally irreversible.

    1. Accepting these Terms

    You enter into these Terms by selecting "I agree to the Terms of Service" (or a similar control) when we present them to you. Our Privacy Policy and Cookie Notice explain our data practices. Accepting these Terms does not constitute consent to optional tracking, marketing or biometric processing; any consent the law requires is requested separately. If you do not agree, do not use the Service.

    If you use the Service on behalf of a company or other organization, you confirm that you have authority to bind it, and "you" includes that organization. Additional terms apply to certain features, such as card programs, the E-Sign Consent and the list of prohibited countries. If an additional term conflicts with these Terms, the additional term controls for that feature.

    2. Eligibility and your account

    To use the Service you must:

    • be at least 18 years old and able to form a binding contract;
    • not be located in, organized in, or ordinarily resident in a sanctioned or prohibited country, and not be on any sanctions list;
    • provide accurate, current and complete information, and keep it up to date;
    • complete identity verification (KYC) when we or our partners require it.

    You are responsible for your sign-in methods (email links, passkeys, wallet signatures, PINs, recovery questions and devices) and for all activity under your account. Tell us at hello@bu.finance right away if you believe your account has been compromised. We may refuse to open an account, or limit features, at our discretion and where the law or our partners require it.

    3. Workspaces, roles and approvals

    The Service is organized into workspaces. The person who creates a workspace is its owner and can invite members, assign roles and choose signers for the workspace treasury.

    • A workspace is bound by the actions of members acting within the roles and approval rules configured for it.
    • Treasury payments need approval from enough signers to meet the threshold (quorum) configured for that treasury.
    • You are responsible for choosing members, roles, signers, thresholds and recipient allowlists appropriate for your organization, and for removing access when someone leaves.
    • Workspace owners and administrators are responsible for having the right to upload, and for giving any required notices about, the personal data of employees, contractors, customers and other people they add to the workspace (see Section 13).

    4. What BUFI is, and what it is not

    BUFI is a software platform for managing a team's finances with stablecoins: workspaces, wallets, payments, payroll, invoices, reimbursements, swaps, savings features and an AI assistant.

    • BUFI is not a bank. Balances in BUFI wallets are not bank deposits and are not insured by the FDIC or any other government deposit insurance scheme.
    • BUFI does not issue stablecoins. Stablecoins such as USDC and EURC are issued by Circle, and other assets (for example wARS, wBRL or KRW1) are issued by third parties. Their value, reserves and redemption are the issuer's responsibility, not BUFI's.
    • BUFI does not give investment, tax, accounting or legal advice. Information in the Service, including anything produced by our AI features, is for your general information.
    • Some services are provided by third parties. Converting between fiat money and digital assets, bank transfers, card issuing, identity verification and some other features are provided by independent, regulated or specialized partners under their own terms (see Section 8).

    Cards and Borrow are not currently offered to the public. Any future availability will require separate eligibility checks and applicable feature terms.

    5. Wallet control and custody

    Your treasury is controlled by your signers. Your treasury is a multi-signature smart account. Once setup is complete, every payment from it needs your workspace's approval, and BUFI cannot move treasury funds on its own. While setup is still in progress, BUFI's setup key can also act on the account, so wait until setup is complete before funding it.

    Your personal wallet is controlled by you. It is secured with your PIN and recovery questions, and BUFI cannot sign for it. If you lose both, BUFI may not be able to restore access.

    Some operations use a BUFI-managed execution wallet. For certain swaps and Earn deposits, your signers approve sending a set amount to your workspace's execution wallet, which completes the operation and returns the result to your treasury, usually within seconds. While funds are in that wallet, BUFI holds its keys and may use them only to complete the approved operation or return the funds. The same applies to balances you give Bu's agent wallet to work with. These funds remain yours; if an operation cannot complete, the execution wallet returns them where possible.

    Keep your signing credentials and devices secure. Network-fee sponsorship is discretionary and may end.

    6. Digital asset risks

    Using digital assets involves significant risk. You accept these risks by using the Service:

    • Transactions are generally irreversible. A transfer sent to a wrong or incompatible address or network usually cannot be recovered. Always check the recipient and the network.
    • Stablecoins can lose their peg. A stablecoin may trade below its target value, be frozen by its issuer, or become impossible to redeem.
    • Technology can fail. Blockchains, smart contracts, bridges, wallets and protocols can have bugs, be attacked, be congested or stop working, and may delay or lose transactions.
    • Prices move. Swaps and conversions between assets use market prices that can change between quote and execution, within any slippage limit shown to you.
    • Rules can change. Laws about digital assets differ by country and change often. You are responsible for knowing whether you can lawfully use the Service where you are.

    BUFI does not guarantee the value of any asset or the outcome of any transaction.

    7. Payments, transfers and instructions

    When you or your workspace submit an instruction (for example a payment, payroll run, invoice settlement, reimbursement, swap or withdrawal), you authorize BUFI and the relevant partners to carry it out.

    • Instructions that need approvals are executed only after the required approvals are collected.
    • Once a transaction is submitted to a blockchain, it generally cannot be cancelled or reversed.
    • We may delay, refuse or reverse a pending instruction where required by law, by our partners, or to prevent fraud or loss.
    • Quotes, exchange rates and estimated fees are shown before you confirm. Third-party exchange rates are set by those third parties.
    • Invoices, payment requests and payroll documents generated in BUFI are records your workspace creates. Your workspace is responsible for their accuracy and for any tax treatment.

    8. Third-party services

    The Service connects to services operated by others, including Circle (wallets and stablecoins), Bridge, Alfred Pay, Ripio and Stripe (converting between money and digital assets), Persona (identity verification), Plaid, Mesh, Teller and Pluggy (connecting bank and exchange accounts), Rain (cards), decentralized protocols such as Morpho, Uniswap and LI.FI, and integrations you choose to connect, such as Gmail, Outlook, Slack, Xero or QuickBooks.

    • These services are provided by their operators under their own terms and privacy policies, which you may need to accept.
    • Third parties control their own services and decisions (such as declining to verify you or to process a transfer). This does not exclude BUFI's responsibility for its own acts, omissions, contractual obligations or duties that applicable law makes non-delegable.
    • A third party may suspend or end its service, which may limit or end the related BUFI feature.

    9. Savings, yield and lending features

    Where available, BUFI may let you deposit digital assets into third-party protocols or vaults to earn a return, or borrow against digital assets.

    • These are not savings accounts or deposits. Yields are variable, are set by the protocol or its participants, are not guaranteed and may be zero.
    • You can lose some or all of the assets you deposit or pledge, including through smart contract failures, liquidation, or the failure of an asset or protocol.
    • Figures such as yields, health factors or liquidation prices come from the protocol or its operator. They may be delayed or inaccurate.
    • You select and authorize the available vault or transaction. BUFI facilitates execution, including through the BUFI-controlled wallets described in Section 5. Listing a vault is not a representation that it is safe or suitable for you. Withdrawal may be delayed or unavailable because of liquidity limits, protocol restrictions or losses.

    10. AI features and the BUFI agent

    BUFI includes AI features, including the assistant Bu (text and voice), document reading (OCR), suggestions, drafting and an agent that can prepare and carry out actions.

    • AI can be wrong. AI output can be inaccurate, incomplete or out of date. Review it before relying on it, especially amounts, recipients, dates and tax information.
    • Approvals. Bu provides assistance and prepares actions. Treasury and personal-wallet transactions require the applicable human authorization. Agent-wallet transactions may execute under a previously approved workspace grant without a separate human approval for each transaction. Those grants are enforced by BUFI's software, as explained in Section 5. You are responsible for the actions and grants you or your workspace approve.
    • Content you provide. To provide these features, we send the content you submit (such as messages, voice, documents and relevant workspace records) to AI model providers acting on our behalf (see our Privacy Policy). Do not submit content you are not allowed to share.
    • Usage limits. AI features may consume credits or be subject to plan limits.

    11. Plans, fees and credits

    Some features require a paid plan or AI credits. Prices, included limits and fees for transactions, conversions and other services are shown in the Service or at checkout and may change; we will give you notice of price changes for recurring plans before they apply.

    • Before purchase, checkout identifies the recurring price, billing interval, renewal terms and cancellation method. Subscriptions renew automatically until cancelled. Cancellation stops future renewals, and you keep access until the end of the paid period.
    • Payments for plans are processed by Stripe on the web and by Apple or Google, through RevenueCat, in the mobile apps, under their terms.
    • Unless the law requires otherwise, fees and purchased credits are not refundable. Statutory withdrawal, cancellation and refund rights remain unaffected.
    • Network fees and third-party fees may apply in addition to BUFI's fees.
    • You are responsible for any taxes that apply to your use of the Service, other than taxes on BUFI's income.

    12. Compliance and prohibited use

    We and our partners must comply with anti-money-laundering, counter-terrorist-financing and sanctions laws. This includes verifying identities, screening against sanctions lists, monitoring transactions and reporting to authorities where required. You agree to provide information we reasonably request for these purposes.

    You must not use the Service to:

    • break any law or regulation, or help anyone else do so;
    • launder money, finance terrorism, evade sanctions or taxes, or commit fraud;
    • send funds to or from sanctioned people, places or wallets, or access the Service from a prohibited country;
    • deal in illegal goods or services, or in activity our partners prohibit;
    • interfere with, attack, scrape or reverse-engineer the Service, or bypass its security or limits;
    • impersonate anyone, or give false information.

    We may suspend activity, freeze features we control, or close accounts where we reasonably suspect a breach of this Section.

    Prohibited businesses. You must not use the Service for, or on behalf of, any of the following businesses or activities. This list is representative, not exhaustive: we may decline or stop supporting a business that is not listed. Whether an activity appears here is not a statement about whether it is legal where you operate.

    • Illegal products and services: illegal drugs, substances that mimic them and equipment to make or use them; fake identification, forged documents and identity-theft tools; equipment that jams or bypasses telecommunications; businesses that promote unlawful violence, or violence or hatred against any group based on race, religion, disability, gender, sexual orientation, national origin or another protected characteristic; anything illegal where the business operates or to whom it is offered.
    • Fraud, deception and predatory practices: pyramid schemes, get-rich-quick schemes and recruitment-driven multi-level marketing; hidden recurring billing, deceptive free trials and negative-option marketing; fake traffic, engagement, reviews or bot services; predatory lending, credit repair and mortgage consulting; resale that adds no value, essay mills, mugshot-publication sites and deceptive remote tech support.
    • Intellectual property infringement: unauthorized sale or distribution of music, film, software or other licensed material; counterfeit or replica goods; illegally imported or exported goods; unauthorized sale of brand-name or designer products.
    • Unlicensed gambling: gambling, betting, sweepstakes, lotteries, raffles, casino-style games, sports betting and prediction services offering money or prizes that are not legally permitted where they operate; bidding-fee (penny) auctions.
    • Adult content and services: obscene content, and any content involving minors or non-consensual material; prostitution, escort and adult companionship services; adult venues such as strip clubs and adult theaters; adult content sites, streams, marketplaces and subscriptions, including AI-generated adult content.
    • Cannabis, CBD and THC: all cannabis and marijuana products, accessories, cultivation and distribution, regardless of local legality; any product containing CBD or THC; advertising for cannabis products.
    • Unlicensed financial and money services: money transmission, remittance, currency exchange and virtual-asset services operating without the authorization their jurisdiction requires; debt collection agencies, factoring companies and third-party collections; check cashing and payday lending; unregistered investment, brokerage or advisory services.
    • Animal and wildlife trafficking: trade in animals, wildlife or endangered species; unauthorized trade in regulated plants, seeds or invasive species.
    • Unlicensed pharmaceuticals: controlled substances and synthetic alternatives sold without authorization; online pharmacies and prescription-drug sales without the required licenses.

    Immediate freeze. If we identify that an account or workspace operates, or acts on behalf of, a prohibited business, we will freeze it immediately and without prior notice. A freeze suspends access and stops every feature and instruction under our control, including payments, conversions, cards and the agent. The decision is final: we will not reinstate the account, and it is not subject to internal appeal or review. A freeze does not transfer ownership of any assets. Where the law requires, we report the activity to the competent authorities, and any return of assets under BUFI's control is subject to their instructions and to our legal obligations.

    13. Your data and content

    You keep ownership of the content and data you put into the Service. You grant BUFI a worldwide, non-exclusive license to host, copy, process, transmit and display it only as needed to provide, secure and improve the Service and as described in our Privacy Policy.

    When BUFI processes personal data solely on a workspace's documented instructions (for example data about employees, contractors, customers or vendors), the workspace is controller and BUFI is processor. Our Data Processing Addendum forms part of these Terms for that processing. BUFI acts separately as controller where it determines purposes such as its own legal compliance, account security and billing, as explained in the Privacy Policy. The workspace is responsible for having a lawful basis and giving any required notice.

    If you connect a Google account, BUFI's use and transfer of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.

    14. BUFI's intellectual property and feedback

    The Service, including its software, design, text, graphics, mascot and trademarks, belongs to BUFI or its licensors. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service according to these Terms. You may not copy, modify, resell or build a competing product from the Service.

    If you send us feedback or suggestions, we may use them freely without any obligation to you.

    15. Suspension, termination and closing your account

    You can stop using the Service and request account closure at any time through account deletion.

    We may suspend or terminate your access, in whole or in part, if you breach these Terms, if required by law or by a partner, to protect the Service or other users, or if we discontinue the Service. Where reasonable, we will give you notice and a chance to withdraw your assets.

    Closing your account does not transfer ownership of your assets or forfeit your claim to them. Before closure, resolve pending instructions and arrange withdrawal or continued access. For assets under BUFI's control, we will provide a return or withdrawal process, subject to applicable legal restrictions and outstanding protocol obligations. If return is restricted, we will explain the restriction where legally permitted. Records required by law may remain after closure, as described in our Privacy Policy. Sections 4 to 6, 9, 10, 13 and 16 to 21 survive termination.

    16. Disclaimers

    THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, BUFI AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE, ANY THIRD-PARTY SERVICE, ANY BLOCKCHAIN OR ANY AI OUTPUT WILL BE UNINTERRUPTED, ACCURATE, SECURE OR ERROR-FREE.

    Some jurisdictions do not allow certain warranties to be excluded. In those jurisdictions, these exclusions apply only to the extent the law allows.

    17. Limitation of liability

    TO THE FULLEST EXTENT PERMITTED BY LAW: (A) BUFI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS; AND (B) BUFI'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF ONE HUNDRED US DOLLARS (US$100) AND THE FEES YOU PAID TO BUFI IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

    These limits apply whatever the legal theory, even if we were told the damage was possible.

    The exclusions and cap in this Section do not apply to our obligation to account for and return assets we control for you, direct loss of customer assets caused by our breach of an authorized instruction or failure to exercise reasonable care over assets under our control, fraud, gross negligence, willful misconduct, or liability that applicable law does not permit us to exclude or limit.

    18. Indemnification

    For business customers, indemnification applies to third-party claims arising from your unlawful content, material breach or unlawful use, excluding loss caused by BUFI's breach, negligence or misconduct. BUFI will promptly notify you, permit reasonable control of the defense and require consent before any settlement imposes obligations or admissions on you. This indemnity does not apply to consumers.

    19. Dispute resolution and arbitration

    Informal resolution first. Before starting arbitration or a court case, you and BUFI agree to try to resolve the dispute informally. Send a written notice describing the dispute to hello@bu.finance. If it is not resolved within 60 days of the notice, either party may start arbitration.

    Binding individual arbitration. Except as described below, you and BUFI agree that any dispute arising out of or relating to the Service or these Terms will be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules (for claims under US$250,000) or Comprehensive Arbitration Rules (for larger claims). The Federal Arbitration Act governs this Section. The arbitration may be held by video, or in the county where you live if you are an individual. The arbitrator decides all questions about the scope and enforceability of this agreement to arbitrate, except that a court decides challenges to the class action waiver.

    Exceptions. Either party may bring an individual claim in small claims court, or seek an injunction in court to protect its intellectual property.

    Class action and jury waiver. YOU AND BUFI MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING, AND BOTH WAIVE THE RIGHT TO A JURY TRIAL.

    Coordinated filings. Any coordinated filings will be administered under applicable JAMS procedures and fee schedules. This agreement does not require consolidation, a single merits arbitrator or a single fee for multiple claimants.

    Consumer protections. Where JAMS Consumer Minimum Standards apply, they control over conflicting provisions. A consumer initiating arbitration pays no more than US$250 in JAMS fees, or a lower amount required by applicable rules or law; BUFI pays the remaining required arbitration fees. Available statutory remedies remain available. The informal-resolution period does not prevent timely filing to preserve a claim or seeking urgent relief.

    Opting out. You may opt out of this Section by emailing hello@bu.finance within 30 days after you first accept these Terms, with your name, the email address on your account, and a clear statement that you opt out of arbitration.

    Consumers in the EEA, UK and elsewhere. Mandatory pre-dispute arbitration and the class-action and jury waivers do not apply to consumers habitually resident in the EEA or United Kingdom. Elsewhere, they apply only to the extent permitted by mandatory law. Nothing restricts a non-waivable right to public injunctive relief.

    20. Governing law

    These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. For any dispute that is not arbitrated, you and BUFI submit to the exclusive jurisdiction of the state and federal courts located in Delaware. If you are a consumer, this choice of law does not take away the protection of mandatory consumer laws where you live, and the Delaware forum provision does not restrict a consumer's mandatory right to bring proceedings in another court.

    21. Changes, notices and other terms

    Changes. We may update these Terms. Changes apply prospectively. If a change is material, we will notify you by email or in the Service before it takes effect. We will obtain affirmative acceptance where required by law and for material changes to arbitration or customer-asset control. Changes will not alter the terms governing an existing dispute without both parties' agreement. If you do not agree, stop using the Service and close your account.

    Electronic notices. You agree to receive notices and records electronically, as described in the E-Sign Consent.

    Assignment. You may not transfer these Terms without our written consent. We may transfer them in connection with a merger, acquisition or sale of assets, or to an affiliate.

    Entire agreement. These Terms, together with the policies they refer to, are the entire agreement between you and BUFI about the Service. If a provision is unenforceable, it will be limited to the minimum extent necessary and the rest stays in effect. Our failure to enforce a provision is not a waiver.
